These terms are an agreement between you and SpaGreen Creative of Mirpur DOHS, Dhaka, Bangladesh ("we", "us"), the company that builds and operates Drix. They cover both this website and the Drix courier management platform. By using either, you accept these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
1. What Drix is
Drix is software for running a courier or delivery operation: parcel booking and tracking, COD collection and reconciliation, merchant payouts, rider management, branch operations, and reporting. We supply the software. We are not a courier, we do not carry parcels, and we are not a party to the delivery contracts you make with your merchants or their customers.
2. Your account
Accounts are issued to a named business. You are responsible for the accuracy of the details you register, for every user you create in your account, and for what those users do with it. Tell us promptly at info@spagreen.net if you believe an account has been compromised.
3. Plans, quotes and payment
Drix is sold as subscription plans and as custom deployments. Your quote states the scope, the fee, the billing interval, and anything excluded — that document governs commercial terms and prevails over general statements on this website. Fees are payable in advance of each billing period unless the quote says otherwise. Government taxes and duties are your responsibility. We may change subscription fees with at least 30 days' written notice, taking effect at your next renewal.
If an invoice is more than 30 days overdue we may suspend access after written notice. We will not delete your data during a suspension for non-payment.
4. Acceptable use
You agree not to:
- Use Drix for anything unlawful, or to ship goods prohibited under the laws of Bangladesh or of any country you operate in.
- Resell, sublicense, or white-label Drix without a written agreement covering it.
- Copy, decompile, or reverse-engineer the software, or attempt to extract its source code.
- Probe, scan, or load-test the service, or try to reach data belonging to another customer.
- Upload malware, or use the platform to send unsolicited bulk messages.
- Enter personal data into the system without the legal basis to do so.
5. Your data
The operational data you put into Drix — parcels, merchants, riders, branches, transactions — stays yours. You grant us only the licence needed to host, process, back up, and display it so the service works, and to provide support. We handle personal data as described in our Privacy Policy. You are the data controller for it; we act on your instructions.
You can export your data while your account is active. On closure we keep it available for 30 days for export, then delete it within 90 days of closure unless you agree otherwise in writing.
6. Intellectual property
Drix, its source code, design, documentation, and the Drix name and logo belong to SpaGreen Creative. Your subscription grants a non-exclusive, non-transferable right to use the software for your own courier operation for as long as your plan is active. Nothing in these terms transfers ownership. Custom work is owned as set out in the quote covering it.
7. Availability and support
We aim to keep the hosted service continuously available and give advance notice of planned maintenance where we can. We do not promise uninterrupted service unless your agreement includes a specific service level. Support is provided during our office hours, 10:00 am to 7:00 pm, over WhatsApp, phone, and support tickets.
8. Third-party services
Drix can connect to third-party services such as courier APIs, SMS gateways, payment and mobile financial services, and e-commerce platforms. Those services are run by their own providers under their own terms. We are not responsible for their availability, their fees, or changes they make to their APIs.
9. Limitation of liability
Drix is provided on an "as is" basis to the extent the law allows. We are not liable for indirect or consequential loss, for lost profit or goodwill, for loss or damage to parcels, or for cash a rider or staff member fails to hand over — the platform records those movements, but it does not control them. Our total liability for any claim is capped at the fees you paid us in the 12 months before the claim arose. Nothing here excludes liability that cannot lawfully be excluded, including for fraud.
10. Suspension and termination
You may cancel a subscription at any time, effective at the end of the billing period then running; fees already paid are not refunded except where required by law. We may suspend or terminate an account for a serious or repeated breach of these terms, giving written notice and, where the breach can be fixed, a reasonable chance to fix it.
11. Changes to these terms
We may update these terms as the product and the law change. The "last updated" date above always reflects the current version, and material changes are emailed to active customers before they take effect. Continuing to use Drix after that means you accept the new terms.
12. Governing law and contact
